Rathbones Inspire Programme – Terms and Conditions
Introduction
- These terms and conditions ("Terms") govern your application ("Application") to and ongoing participation in the Rathbones Inspire programme ("Programme").
- Applications to the Programme can be made via https://www.rathbones.com/rathbones-inspire-application, and by submitting any such Application you agree that you will be bound by and will comply with these Terms.
- Unless otherwise stated, any reference in these Terms to "you" or "your" shall be construed as a reference to the relevant applicant to our Programme ("Applicant") and the Applicant’s associates, employees and/or affiliates (as applicable).
- Unless otherwise stated, any reference in these Terms to "our", "we" and "us" shall be construed as a reference to Rathbones Group Plc, registered as a company in England & Wales under registration number 01000403 and with registered office at 30 Gresham Street, London, EC2V 7QN.
Your Application
- Before submitting your Application you must meet the relevant eligibility criteria, further details of which are provided on https://www.rathbones.com/individuals/rathbones-entrepreneurs/rathbones-inspire/programme
- To submit your Application, you must fill in the application form (the "Form") (which can be accessed on the Programme-specific page of the Website) and follow the relevant instructions.
- If you experience any difficulties in filling in the Form and/or submitting your Application via the Website, please let us know and we will endeavour to make reasonable adjustments to enable you to apply.
- Following your submission, we will assess your Application and decide whether or not to accept you onto the Programme.
- We may require certain further information from you in order to enable us to assess your Application. Should we not be able to accept you on the Programme, we can provide general feedback about why this is (but we shall not be obliged to explain this in detail).
- Where your Application includes your personal data, by submitting your Application you are acknowledging and agreeing to our use of that data in accordance with these Terms and our privacy policy.
- By submitting an Application to become a participant of the Programme, you warrant, and continue to warrant throughout your participation in the Programme, that:
- all information provided by you to us (whether in the Form or otherwise) is true, accurate and complete in all material respects;
- you do not have any actual or potential conflict of interest with us, and that you will inform us immediately if any such conflict arises;
- you will notify us as soon as possible if you suspect at any time that anyone else has obtained access to your user identification code or password for the Programme and/or the Website;
- you will act lawfully and in good faith and will comply fully with equality and anti-bribery legislation and with other applicable laws, regulations, guidelines and codes of practice at all times;
- you will comply with our reasonable requests (including health and safety and/or security requirements) at all times including while attending events as part of the Programme;
- you acknowledge and agree that your confidential information and other data will be used by us in accordance with these Terms; and
- you will notify us immediately if you become aware of any changes that would materially affect the truthfulness and/or validity of any of the statements set out above at any time.
Cancellation / Termination
- We may cancel your Application and/or terminate your participation in the Programme at any time without notice, including but not limited to the following circumstances:
- if you breach or are found to be in breach of these Terms or any applicable laws, regulations, guidelines and codes of practice;
- in the event of an actual or potential conflict of interest arising between you and us; or
- if you take or have taken against you (other than in relation to a solvent restructuring) any step or action towards entering bankruptcy, administration, provisional liquidation or any composition or arrangement with your creditors, having a receiver appointed to any of your assets, or if you or your business becomes subject to a procedure in any jurisdiction with a similar effect to a procedure listed in this section.
- Participants are entitled to leave the Programme at any time and for any reason. Please notify us if you decide to leave the Programme so that we can update our records, remove you from mailing lists, etc.
Events and additional services

As part of your participation in the Programme we may from time to time invite you to certain activities and events (e.g. breakfast meetups, conferences, pitch events etc.).

Some of these events may involve you being introduced to third-party entrepreneurs, coaches, advisors, and trainers. Please note that we do not provide any endorsement or recommendation in relation to any goods or services offered by these third parties and we do not accept any liability for their advice, actions or omissions.

Any decision that you may make to engage with these third parties (e.g. for the provision of any goods or services) will be solely yours, and must be governed by separate arrangements and/or contractual relationships between you and such third parties.

Your interaction with other participants of the Programme
- Throughout your participation in the Programme, in particular when making contact with, interacting or corresponding with other Programme participants or third parties, you shall not:
- knowingly or negligently transmit any data, or send or upload any material, that contains viruses or other malware;
- impersonate any person or misrepresent your identity or affiliation with any other person, advertise or promote any third-party services or web links to other websites; and
- make any contribution which:
- could be considered defamatory, obscene, offensive, hateful, inflammatory, sexually explicit, discriminatory or promotes violence and/or discrimination;
- infringes a third party's intellectual property rights, or breaches any duty of confidence; or
- promotes any illegal activity, threatens or abuses or invades another person’s privacy, is likely to harass, upset, embarrass or alarm any other person.
- Notwithstanding section 'Cancellation / Termination' above, failure to comply with any of the provisions above may result in the immediate cancellation of your Application and/or termination of your participation in the Programme.

How will we use your information?
- We will use the information which you provide to us, including all information in your application form and supporting documentation, contact details for your staff, and details of your business as follows:
- to administer the Programme;
- to contact you and your organisation (e.g. to let you know about particular activities or events which form part of the Programme); and
- to send you additional information about us and any of our associates and affiliates.
- The security of your information is important to us. We will adopt appropriate technical measures to prevent unauthorised access to that information and to ensure that only those persons that need to see your information will have access to it.
Confidential information

You acknowledge that if you provide us with commercially sensitive or confidential information, such information may be used by us in accordance with these Terms. At the same time, you acknowledge and agree that you would only be disclosing any such information to us for the purposes of your participation in the Programme.

All information and discussions within the Programme are intended to be shared within the Programme only, and you shall not republish, copy, duplicate or disseminate any content, videos, offers, features or posts without our permission, unless required to do so by any applicable laws.
Publicity and logos

We may from time to time require you to provide us with a copy of your business logos ("Applicant Logos").

You acknowledge and agree that we will be entitled to use the Applicant Logos, together with basic information about your business, including the name of your business, a brief synopsis of your business, and names of your key officers and senior managers, for the purposes of marketing and promoting the Programme in both online and offline media, and for the promotion of other similar programmes which we may develop in the future.

You acknowledge and agree that we may require you to provide quotations, and participate in video interviews as part of the Programme, and where asked to do so you agree to use best efforts to provide such material. In this respect, we will be entitled to use and edit such material for the purposes of any internal and external promotion of the Programme as we see fit.

You acknowledge and agree that you will not make any pejorative statement relating to the Programme, us or any of our employees, associates and affiliates in public, online (including on any social media platforms), to the press or elsewhere.

You agree that you will not use the Rathbone Logos or the logos of any of our associates or affiliates in any form or medium without our prior written consent (and you will remove the Rathbone Logos, and/or the logos of any o
General

We do not make any warranty about the accuracy or completeness of the information provided by us in relation to, or provided via, the Programme, including on the Website

We may vary, suspend or withdraw the Programme and/or associated activities and events at any time, including by changing deadlines, changing the content, times and format of events, meet-ups and workshops or any other part of the Programme. We shall not incur any liability to you for making any such changes or cancellations.

We shall not be liable for any delay in performing, or failure to perform, any of our obligations under these Terms if such delay or failure result from events, circumstances or causes beyond our reasonable control.

You acknowledge and agree that we and our associates and affiliates will not be liable to you, your partners or anyone else in respect of any loss of profit, loss of revenue, loss of business, damage to reputation or goodwill, economic loss, or loss of opportunity (in each case whether direct or indirect), or for any indirect or consequential losses, arising as a result of your Application or participation in the Programme or any reliance by you on any statement made or advice given by us, our assessors, mentors, coaches, partners, contractors or other third parties.

Nothing in these Terms shall exclude or limit our liability to the extent prohibited by law, including in relation to death or personal injury caused by our negligence or fraudulent misrepresentation.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
- Both you and we irrevocably acknowledge and agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or its subject matter or formation.
